Terms of Service

These Terms of Service ("Terms") govern your access to and use of GovGrantsUSA, operated by VRLY Ventures LLC ("we", "us", "our"), located at govgrantsusa.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

GovGrantsUSA is a cloud-based platform that provides federal grant matching, AI-assisted application drafting, document management, and submission guidance. The Service aggregates publicly available grant data from federal sources including Grants.gov, SAM.gov, SBIR.gov, and USASpending.gov.

Important: The Service is a tool to help you find and apply for grants. It does not guarantee grant awards, does not submit applications on your behalf, and does not provide legal, financial, or regulatory advice. All grant submissions must be made by you through the appropriate government portal.

2. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your password and account
  • You are solely responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access to your account
  • You must be at least 18 years old to use the Service
  • One account per individual. Organization accounts may have multiple team members.

3. Subscription and Payment

Plans

The Service offers a free tier and paid subscription plans (Starter, Growth). Plan features and pricing are listed on our pricing page and may be updated from time to time with 30 days advance notice.

Billing

  • Paid plans are billed monthly or annually in advance through Stripe
  • Overage charges (additional applications or AI drafts beyond your plan's included allowance) are charged as one-time payments at the time of purchase
  • All fees are non-refundable except as required by law
  • You are responsible for all applicable taxes
  • We reserve the right to change pricing with 30 days notice

Cancellation

  • You may cancel your subscription at any time from your billing dashboard
  • Monthly plans: cancellation takes effect at the end of the current billing period
  • Annual plans: you retain access for the remainder of the annual term. No partial refunds.
  • Free plan accounts remain active indefinitely unless deleted by you or terminated by us

4. Your Content and Data

Ownership

You retain full ownership of all content you create, upload, or input into the Service, including organization profiles, application narratives, budget data, and uploaded documents.

License to Us

By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service. This includes sending your content to our AI provider (Anthropic) for draft generation and storing your documents on our cloud infrastructure (Wasabi).

Your Responsibilities

  • You are solely responsible for the accuracy of information in your organization profile and grant applications
  • You are responsible for reviewing and editing all AI-generated content before submission to any government agency
  • You must ensure your applications comply with all applicable grant requirements, regulations, and submission guidelines
  • You should maintain independent backups of important application data

5. AI-Generated Content

The Service uses artificial intelligence (Anthropic's Claude) to assist with grant application drafting. You acknowledge and agree that:

  • AI-generated content is a starting point, not a finished product. You must review, verify, and edit all AI output before use.
  • AI-generated content may contain errors, omissions, or inaccuracies. We do not guarantee the accuracy, completeness, or quality of AI output.
  • AI-generated content does not constitute legal, financial, or professional advice
  • You are solely responsible for any content you submit to government agencies, regardless of whether it was AI-assisted
  • AI usage is subject to your plan's monthly draft limits. Exceeding limits requires purchasing additional drafts or upgrading your plan.

6. Grant Data and Matching

  • Grant opportunity data is sourced from publicly available federal databases and may not be complete or current
  • Match scores are generated algorithmically and represent our estimate of relevance, not a guarantee of eligibility or award likelihood
  • Grant deadlines, award amounts, and eligibility requirements are subject to change by the issuing agency. Always verify details on the official source website.
  • We are not affiliated with Grants.gov, SAM.gov, or any federal agency

7. Intellectual Property

The Service, including its design, code, algorithms, matching engine, and brand assets, is owned by VRLY Ventures LLC and protected by copyright and other intellectual property laws. You receive a non-exclusive, non-transferable, revocable license to use the Service during your subscription.

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or distribute access to the Service
  • Scrape, crawl, or systematically extract data from the Service
  • Remove or alter any proprietary notices or branding

8. Prohibited Uses

You may not use the Service to:

  • Submit fraudulent, misleading, or false grant applications
  • Misrepresent your organization's qualifications, demographics, or eligibility
  • Violate any applicable law, regulation, or grant program requirement
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt unauthorized access to other users' accounts or data
  • Use automated tools to access the Service beyond normal browser use
  • Transmit malware, viruses, or harmful code
  • Use the Service for any purpose other than legitimate grant seeking

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Anthropic (AI), and Wasabi (storage). Your use of these services is governed by their respective terms. We are not responsible for third-party service availability, performance, or policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Grant data will be accurate, complete, or current
  • AI-generated content will be suitable for any particular grant application
  • Use of the Service will result in grant awards
  • Match scores predict actual eligibility or award likelihood

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VRLY VENTURES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GRANT AWARDS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to the Service shall not exceed the lesser of: (A) the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (B) one hundred dollars ($100.00 USD).

12. Indemnification

You agree to indemnify and hold harmless VRLY Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Service
  • Your grant applications or submissions to government agencies
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Inaccurate information in your organization profile or applications

13. Termination

  • You may terminate your account at any time through your account settings
  • We may suspend or terminate your account immediately for violation of these Terms
  • We may terminate your account with 30 days notice for any other reason
  • Upon termination, you will have 30 days to export your data before it is deleted
  • Termination does not relieve you of payment obligations already incurred

14. Changes to Terms

We may modify these Terms from time to time. We will provide at least 30 days advance notice of material changes via email or through a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

  • These Terms are governed by the laws of the State of New Jersey
  • Any disputes shall be resolved exclusively in the state or federal courts located in Middlesex County, New Jersey
  • You waive any right to a jury trial in connection with disputes arising under these Terms
  • Any claim must be brought within one (1) year of the event giving rise to the claim

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a business transfer.
  • Force Majeure: We are not liable for delays caused by events beyond our reasonable control
  • Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us
  • No Waiver: Our failure to enforce any provision does not waive our right to enforce it later
